The agreement between you and CartAmplify. Written to be readable; still binding.

These Terms of Service ("Terms") are a binding agreement between CartAmplify, Inc., a Delaware corporation ("CartAmplify", "we", "us"), and the person or company that creates an account or uses the service ("you"). By signing up or using the service, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you have authority to bind that company.
CartAmplify provides AI-powered search, browse, and recommendation tools that online stores integrate into their websites and apps. The specific features available to you depend on the plan you select.
You are responsible for keeping your login credentials and API keys secure, and for any activity that happens under your account. Let us know promptly if you suspect unauthorized access. One account per customer; do not share access outside your team.
Do not reverse-engineer or attempt to extract our models or training data. Do not abuse the API with traffic patterns designed to evade rate limits or plan caps. Do not use the service to process content that is illegal, infringes others' rights, or violates applicable law. Do not resell the service without our written permission.
Plans are billed in advance and renew automatically at the end of each billing period until you cancel. Monthly plans renew monthly; annual plans renew yearly. Usage above your plan's included limits is billed monthly as overage at the rates published on our pricing page. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
Monthly plans are not refundable for partial months. For annual plans, if you cancel before the end of the term, we will refund the unused portion on a pro-rated basis, minus any usage above your plan's included limits and any applicable taxes or processing fees.
You retain all rights to the data you and your shoppers send to the service ("Customer Data"). You grant CartAmplify a limited, non-exclusive license to process Customer Data solely to operate, maintain, and improve the service. We handle personal data in line with our Privacy Policy.
CartAmplify and its licensors own the service, including the software, machine-learning models, documentation, and trademarks. These Terms do not transfer any of those rights to you, beyond the limited right to use the service while your account is active.
We work hard to keep the service running smoothly, but we do not guarantee uninterrupted availability on self-serve plans. Service-level commitments are available only to customers on enterprise plans under a separate written agreement.
You can terminate the agreement at any time by closing your account. We can suspend or terminate your account if you breach these Terms, fail to pay, or use the service in a way that creates risk for us or other customers. On termination, your right to use the service ends and we will delete or anonymize Customer Data per our retention policy.
The service is provided "as is" and "as available", without warranties of any kind, express or implied, except those that cannot be excluded under applicable law. We do not warrant that the service will be error-free, that results will be accurate, or that the service will meet your specific business requirements.
To the maximum extent permitted by law, CartAmplify's total liability arising out of or related to the service is capped at the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
You agree to defend and indemnify CartAmplify against third-party claims arising from your misuse of the service, your violation of these Terms, or Customer Data you provided to the service.
We may update these Terms from time to time. When we do, we will change the "last updated" date at the top of this page. Material changes will be communicated to account holders by email at least thirty (30) days before they take effect. Continued use of the service after that date constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.
